Legal Binding Agreement

This Terms of Service Agreement ("Agreement") constitutes a legally binding contract between Berke İri ("İri CRM") and any user, clinic, or business entity ("User") accessing or subscribing to our SaaS platform via iricrm.com. By creating an account, you unconditionally agree to all terms herein.

1. Parties & Service Description

This Agreement is executed between Berke İri ("İri CRM") and the subscribing User. İri CRM is a cloud-based SaaS platform providing Customer Relationship Management (CRM), Meta WhatsApp Cloud API integration, Visual Workflows automation, Cloud Call Center (IVR), and Digital Consent forms.

2. License Grant & Acceptable Use

İri CRM grants the User a non-exclusive, non-transferable, limited worldwide license to access and utilize the software during the active subscription period.

  • Users shall not reverse engineer, decompile, copy, or sub-license the software source code or database schemas.
  • All intellectual property, code, trademarks, and database structures remain the exclusive property of Berke İri.

3. Strict Rule: Anti-Spam Policy & Meta / WhatsApp Indemnity

Users are strictly required to comply with electronic commercial communication regulations and anti-spam legislation across all WhatsApp, Email, or SMS outreach.

  • No Unsolicited Spam Messaging: Transmitting unsolicited bulk promotional messages or spam without recipient explicit opt-in consent is STRICTLY PROHIBITED.
  • WhatsApp Account Ban Indemnity: In the event that Meta / WhatsApp restricts or bans a User's WhatsApp Business account or phone number due to spam or policy violations, İri CRM holds zero legal or financial liability.
  • İri CRM reserves the right to immediately suspend violating User accounts without refund.

4. Subscriptions, Payment Processing & Non-Refundable Digital Services

İri CRM offers a 7-day free trial. Following the trial, subscription fees are calculated based on seats, WhatsApp nodes, and selected modules.

• Payment Infrastructure: Online payments are processed via PayTR Online POS encryption standards.

• Digital SaaS Non-Refund Policy: Because İri CRM is an instantly provisioned digital cloud SaaS product, active/consumed subscription periods are non-refundable once activated.

• Cancellation Terms: Users may cancel their subscription auto-renewal at any time via the billing dashboard.

5. Limitation of Liability Cap

İri CRM employs industry-standard server reliability protocols. However:

  • İri CRM shall not be held liable for indirect commercial damages, loss of profits, or data outages caused by third-party infrastructure providers (Meta, WhatsApp Cloud API, PayTR, AWS/Hostinger).
  • İri CRM's maximum aggregate financial liability to any User shall not exceed the total subscription fee paid by that User to İri CRM in the 1 (one) month preceding the event.

6. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Turkey. The courts and execution offices of Antalya, Turkey shall have exclusive jurisdiction.
